This Affiliate Program Agreement (the "Agreement") is made effective as of April 25, 2024.
PLEASE READ THIS AFFILIATE PROGRAM AGREEMENT CAREFULLY.
This Agreement serves as a contract between you, the "Recipient," and us, "Pushwoosh." It outlines the collaborative and legal facets of our business relationship, including participation in our Affiliate Program. By participating in this Program, you agree to adhere to its terms and conditions as set forth herein.
In consideration of the terms and covenants of this agreement, and other valuable consideration, the parties agree as follows:
RECITALS
Participation in the Pushwoosh Affiliate Program is conditional upon your agreement to these terms. We may update these terms periodically to reflect changes in our program or in response to evolving business needs. Should there be an update or replacement of terms, we will notify you via electronic means, such as email or in-app notifications. If you disagree with these changes, you may terminate your participation.
ENGAGEMENT AND ACCEPTANCE
The "Affiliate Program" referred to herein is the Pushwoosh Affiliate Program. By applying, you acknowledge having read and understood our Privacy Policies and agree to comply with them.
For clarity, "Recipient" refers to the entity or individual applying and being accepted into the Affiliate Program. "Owner" refers to Pushwoosh, the sponsor of this Affiliate Program. "Owner’s website" is identified as pushwoosh.com, and "Recipient’s website" is the website where you agree to place a link to the Owner's website.
REGISTRATION PROCESS
You must fill out and submit an Affiliate Program Application Form available on our website to register. Approval of your application is at our sole discretion and can be rejected for any reason, including non-compliance or content issues on your website.
COMMISSIONS AND PAYMENTS
As a member of the Affiliate Program, you will earn a 10% commission on all payments made by clients you refer through the program within the first year of each referred client’s initial payment. You can withdraw commissions in any amount and currency, but you are responsible for any associated withdrawal fees. All clients registering through your referral link will also receive a 5% discount.
MARKETING AND LINK PLACEMENT
You are required to integrate our marketing materials, including links, buttons, and banners, on your website. These materials are provided under a limited, non-exclusive license that lasts for the duration of your active participation in the Program. Modification of these materials without prior consent is prohibited
USE OF MARKETING MATERIALS
You agree to use the marketing materials provided by Pushwoosh solely for directing traffic to our site and promoting our services. Upon termination of your participation, you must cease using and delete all such promotional materials from your digital assets.
ANTI-SPAM POLICY
We enforce a strict "No Spam" policy. Violation of this policy, including unsolicited email or other unauthorized advertising methods, will result in immediate termination and potential legal action.
FINANCIAL OBLIGATIONS AND LIABILITIES
You are solely responsible for all costs associated with your marketing activities. Pushwoosh makes no guarantees concerning income potential from participating in this Affiliate Program. All financial transactions and arrangements between you and clients referred through your links are your responsibility, subject to the terms provided herein.
TERMINATION
This Agreement remains effective until terminated by either party. Either party may terminate the Agreement at any time, for any reason, with written notice. Upon termination, all rights and obligations cease except for any accrued liabilities.
GOVERNING LAW
This Agreement is governed by the laws of Kensington, MD, USA. All disputes arising from or related to this Agreement shall be resolved in the courts located in Kensington, MD.
ENTIRE AGREEMENT
This document constitutes the full agreement between Pushwoosh and the Recipient regarding the Affiliate Program. It supersedes any prior agreements or communications. Changes to this Agreement must be made in writing and signed by both parties.
SIGNATURES
By participating in the Affiliate Program, you consent to the terms outlined in this Agreement, effectively binding you to these conditions without the need for additional signatures.
